Terms of Service

These Terms of Service ("Terms") govern your use of the Travel2Gather mobile app, website, and any related services (together, the "Service"). The Service is provided by softWHOOP, LLC, a Florida limited liability company ("Travel2Gather," "we," "us," or "our"). By creating an account, installing the app, or otherwise using the Service, you agree to these Terms. If you do not agree, don't use the Service.

1. Who can use Travel2Gather

You may use the Service only if you:

• Are at least 18 years old;
• Have the legal capacity to enter into a binding contract;
• Are not barred from receiving services under applicable law; and
• Provide accurate information about yourself.

2. Your account

You're responsible for safeguarding your account credentials and for everything that happens under your account. If you discover unauthorized use, tell us right away at legal@travel2gather.app. One account per person. You may not transfer your account.

3. License to use the Service

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for your own personal, non-commercial group-travel planning. We retain all rights not expressly granted.

You may not:

• Copy, modify, or create derivative works from the Service;
• Reverse-engineer, decompile, or disassemble the Service;
• Remove or alter any proprietary notices;
• Use the Service to build or train a competing product;
• Resell, sublicense, or commercialize access to the Service.

4. Your content

"Your Content" means anything you post, upload, or otherwise contribute to the Service — trip details, messages, photos, expenses, activities, and so on.

You keep ownership of Your Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, and display Your Content solely to operate the Service and share it with the trip members and groups you choose. This license ends when you remove Your Content or close your account, except that content you've shared with others may persist (see our Privacy Policy).

You represent that:

• You own or have the necessary rights to Your Content;
• Your Content does not infringe anyone's rights, including privacy and publicity rights;
• Your Content complies with these Terms and applicable law.

5. Acceptable use

You agree not to:

• Post content that's illegal, defamatory, harassing, threatening, obscene, or hateful;
• Impersonate anyone or misrepresent your affiliation with any person or organization;
• Upload malware, viruses, or any code designed to disrupt the Service;
• Try to gain unauthorized access to the Service, other accounts, or the systems the Service runs on;
• Scrape, crawl, or use automated means to access the Service except through approved APIs;
• Rate-limit us — send excessive requests that burden the infrastructure;
• Use the Service to spam or harvest contact information;
• Encourage or help anyone else do any of the above.

6. Third-party services

The Service integrates with third parties including Google (Firebase, Maps, Places, Sign-In), Apple (Sign-In), and OpenWeather. Your use of those integrations is subject to their terms and privacy policies. We aren't responsible for third-party services.

7. Paid features

Travel2Gather is free to download and offers most features at no cost. Premium features — including photo albums, group chat, shared expenses, and live weather and flight tracking on a trip — unlock through either an in-app subscription or a per-trip premium credit, both purchased through the platform store on your device (Apple App Store or Google Play).

Subscriptions

We offer two auto-renewing subscriptions, billed monthly or annually. Prices are displayed in the app and on the store listing before you purchase, in your local currency.

• Auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current price unless you cancel at least 24 hours before the end of the current period.
• Cancellation. Manage or cancel your subscription through the platform store on your device — on iOS, Settings → [your name] → Subscriptions; on Android, Google Play → Subscriptions. Cancelling stops auto-renewal; premium remains active through the end of the period you've already paid for.
• Price changes. If we change subscription prices, the platform store will notify you in advance and give you the chance to cancel before the new price takes effect, per Apple's and Google's price-change rules.
• No free trial at launch. We do not currently offer a free trial on either subscription (every new account receives one free premium credit instead — see below). If we introduce a trial we'll update this section before doing so.

Premium trip credits

A premium trip credit unlocks premium features on one trip you create, for the lifetime of that trip. Credits are a one-time purchase processed through the platform store and added to your account on completion.

• Free signup credit. Every new account receives one premium credit at signup so you can try premium on a single trip without paying.
• Consumed on use. A credit is consumed the moment you activate premium on a trip. Once consumed, credits are non-refundable and have no cash value.
• No transfer. Credits are tied to your account and cannot be transferred, sold, or converted to another form. Unused credits do not transfer to another account and have no value upon account deletion.

Refunds

All purchases are processed by Apple or Google, and refund requests are handled under their respective policies:

• Apple App Store: Request a refund for an App Store purchase
• Google Play: Refunds on Google Play

We do not process refunds directly and cannot reverse a store transaction. If a store denies a refund and you believe special circumstances apply, contact legal@travel2gather.app and we'll review.

Tax and currency

All prices are exclusive of taxes unless otherwise stated. The platform store collects and remits any applicable taxes. Currency conversion, if any, is handled by the platform store, not by us.

Operator of record

Premium subscriptions and credits are offered by softWHOOP, LLC through the Apple App Store and Google Play. The platform store is the seller of record for tax and consumer-protection purposes; softWHOOP, LLC is the underlying provider of the Service.

8. Feedback

If you send us suggestions, ideas, or feedback about the Service, we can use them without any obligation to you. You grant us a perpetual, royalty-free license to use your feedback to improve the Service.

9. Termination

By you: you can stop using the Service and delete your account from Settings at any time. Account deletion follows the schedule described in our Privacy Policy (30 days recoverable, then hard-deleted within 90 days).

By us: we may suspend or terminate your access if you violate these Terms, use the Service in a way that harms other users or the infrastructure, or if we reasonably believe termination is necessary to protect the Service, our users, or the public. We may also discontinue the Service as a whole, in which case we'll give reasonable advance notice and an opportunity to export your data.

Sections that by their nature should survive termination (including 4, 10, 11, 12, 13, and 14) will survive.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF DEALING.

We don't warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You use the Service at your own risk. Information shown in the Service — including place details, weather forecasts, and travel-time estimates — comes from third parties and may be inaccurate. Don't rely on it for safety- or legally-critical decisions.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TRAVEL2GATHER, softWHOOP, LLC, OR OUR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE'VE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions don't allow the exclusion or limitation of certain damages, so some of the above may not apply to you. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless softWHOOP, LLC and its officers, directors, employees, and agents from any claim, demand, loss, or damages (including reasonable attorney's fees) arising out of (a) Your Content, (b) your violation of these Terms, (c) your violation of applicable law, or (d) your violation of any right of a third party. We reserve the right to assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with us.

13. Dispute resolution — arbitration and class-action waiver

Informal resolution first. Before filing any claim against Travel2Gather, you agree to contact us at legal@travel2gather.app and try to resolve the dispute informally. If we can't resolve it within 60 days, either party may proceed to arbitration.

Binding arbitration. You and Travel2Gather agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be held in the English language. Unless you and we agree otherwise, the arbitration will take place in the State of Florida or — at your election — in the county where you live. Judgment on the award may be entered in any court with jurisdiction.

Class-action waiver. YOU AND TRAVEL2GATHER AGREE TO BRING DISPUTES ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate claims or preside over any form of representative proceeding.

Exceptions. Either party may (a) bring an individual action in small-claims court for qualifying claims, (b) seek injunctive or other equitable relief in court for infringement of intellectual-property rights, and (c) bring a claim that cannot be arbitrated as a matter of law.

30-day opt-out. You may opt out of this arbitration agreement by emailing legal@travel2gather.app with "Arbitration Opt-Out" in the subject line, your full name, your Travel2Gather account email, and a clear statement that you opt out, within 30 days of first accepting these Terms. Opting out does not affect the rest of these Terms.

14. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. For any matter not subject to arbitration under Section 13, you and we agree to the exclusive jurisdiction of the state and federal courts located in the State of Florida.

15. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we'll notify you in the app or by email. Your continued use of the Service after the change takes effect means you accept the updated Terms. If you don't agree, you can stop using the Service and delete your account.

16. General

• Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and us regarding the Service.
• Severability. If any part of these Terms is found unenforceable, the rest will still apply.
• Waiver. Our failure to enforce a right isn't a waiver of that right.
• Assignment. You may not assign these Terms without our written consent. We may assign them freely.
• No third-party beneficiaries. These Terms don't give anyone other than you and us the right to enforce them.
• Force majeure. We aren't responsible for delays or failures caused by events outside our reasonable control.
• Notices. We'll send legal notices to the email address on your account. Send notices to us at legal@travel2gather.app.
